Vendor Directory Terms & Conditions

1. About these Terms

These Terms & Conditions (“Terms”) govern business listings in WYRLORA Vendor Directory — The Collective (“Directory”), operated by WYRLORA (“we”, “us”, “our”).

By submitting an application, creating or paying for a listing, or remaining listed, the vendor (“you”, “Vendor”) agrees to these Terms.

Effective date: 18th February 2026


2. Definitions

  • Directory: The Collective vendor directory on the WYRLORA website and related channels.

  • Listing: Your vendor profile page (text, images, links, offers, contact buttons, etc.).

  • Plan / Tier: The listing package you select (Free/Essential/Featured/Spotlight etc.).

  • Content: Anything you provide or we publish about you (logos, text, photos, videos, links, offers, discount codes, brand assets).

  • Visitors / Users: People who browse the Directory.


3. Directory purpose + relationship (important)

The Directory is a promotional listing platform. Unless we clearly state otherwise in writing:

  • We are not a party to any transaction between you and a customer.

  • We do not guarantee sales, leads, traffic, or performance.

  • You are solely responsible for your products/services, fulfilment, customer service, warranties, refunds, safety, licensing, and compliance.


4. Eligibility

To list in The Collective, you must:

  • Operate a legitimate business and have authority to accept these Terms.

  • Provide accurate business details (including ABN where applicable).

  • Sell or promote goods/services that align with WYRLORA’s values and audience (midlife women, Faith/Family/Freedom themes, lifestyle support categories).

  • Comply with all applicable laws, including consumer and advertising laws.

We may request verification (e.g., ABN lookup, website/social proof, or evidence you own rights to your content).


5. Application, review & approval

  1. Apply via the Vendor Signup Form.

  2. We may approve, decline, or request changes at our discretion to maintain quality and brand alignment.

  3. If approved, your Listing may go live after:

    • payment is confirmed (for paid tiers), and

    • required assets are received (logo, images, copy, links), and

    • your Listing meets our content standards.

We may decline applications that are incomplete, misleading, not aligned, or pose reputational risk.


6. Your responsibilities (accuracy, compliance, customer experience)

You agree that:

  • All Listing information is true, current, not misleading, and you’ll update it promptly if anything changes. (Misleading claims can breach Australian Consumer Law.)

  • Any claims (health, financial, results-based, “before/after”, “doctor approved”, etc.) are substantiated and lawful.

  • You will not use the Directory to promote prohibited or restricted goods/services (see section 9).

  • You will respond to customer enquiries within a reasonable timeframe and handle disputes fairly.

  • If you offer discount codes or special offers, you will honour them for the stated period.


7. Listing content standards

Your Listing must be:

  • professional, respectful, and clear

  • free of profanity, hate content, or discrimination

  • free of spammy language (keyword stuffing, fake urgency, deceptive pricing)

  • inclusive and safe for a general audience (women 40–65)

Images: You must own the images or have permission to use them. No stolen images, no unlicensed stock photos, no watermark previews.


8. Our rights (editing, placement, and directory layout)

To keep the Directory consistent and high quality, you acknowledge:

  • We may edit formatting, correct typos, crop images, resize logos, and adjust layout to fit our design.

  • We decide Directory structure, category placement, search filters, and display order.

  • “Featured”, “Spotlight”, “Top placement”, “Homepage rotation” etc. may change as we update the site, but we will maintain the spirit of your tier benefits (e.g., priority visibility vs standard).


9. Prohibited listings (not allowed)

We may refuse, suspend, or remove listings that involve:

  • illegal goods/services, counterfeit items, stolen goods

  • adult/explicit content

  • hate/extremist content

  • unsafe medical claims, harmful “cures”, or advice that should be delivered by licensed professionals (without appropriate disclaimers)

  • weapons or regulated weapons accessories

  • scams, pyramid schemes, or suspicious “get rich quick” offers

  • anything that conflicts with WYRLORA brand direction or could harm our audience


10. Fees, billing & taxes

10.1 Pricing

Fees are as shown on the Vendor Signup page and may be updated from time to time (existing vendors will be notified of changes in advance where reasonably practicable).

10.2 Billing cycle

  • Monthly plans renew every month on the same date (automatic renewal unless cancelled).

  • Annual plans renew yearly (automatic renewal unless cancelled).

10.3 GST

  • ALL membership/directory fees are set in US Dollars.

  • Unless stated otherwise, prices are inclusive of GST, if your business is based in Australia.

10.4 Failed payments

If payment fails:

  • we may pause your paid benefits immediately, and/or

  • downgrade your Listing to a free/basic listing, and/or

  • remove your Listing after a reasonable period.


11. Cancellations, downgrades & refunds

11.1 Cancel anytime (monthly)

You can cancel monthly plans anytime. Cancellation takes effect at the end of the current billing period.

No partial refunds for unused time.

11.2 Annual plans

Annual plans can be cancelled before renewal. Unless required by law, we generally do not refund annual plans once the term has started, because listing benefits and promotional placements are allocated in advance.

11.3 Refunds required by law

Nothing in these Terms excludes rights that cannot be excluded under applicable law.


12. Promotions & marketing use of your content (licence)

By submitting Content, you grant WYRLORA a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, display, and distribute your Content:

  • on your Listing page

  • in WYRLORA marketing (e.g., directory pages, social media, emails, blog features, and promotional graphics)

  • to promote the Directory and/or your Listing

You can request we stop using a specific promotional asset (e.g., a particular image) where reasonably possible, but this may not affect already-published posts.


13. Email communications & consent (Spam Act)

13.1 Vendor communications

We may contact you about:

  • your Listing, renewals, billing, compliance, updates, and opportunities included in your tier.

13.2 Marketing communications

If you opt in to receive marketing/news/promotions from WYRLORA, you can unsubscribe anytime.

Australian spam rules require consent and a working unsubscribe option.


14. Privacy & collection notice

  • We collect personal information (e.g., contact name, email, phone) to administer your Listing and communicate with you.

  • We’ll handle personal information in line with our Privacy Policy.

  • Australian privacy guidance expects a clear notice at or before collection about what you collect and why.


15. Reviews, ratings & complaints

If the Directory allows reviews or feedback:

  • We may moderate reviews for spam, abuse, or irrelevant content.

  • We may remove reviews that breach our policies or appear unlawful.

  • We are not obligated to publish every review.


16. Third-party links & transactions disclaimer

Listings may contain external links. We do not control third-party sites and are not responsible for their content, privacy practices, or transactions.


17. Suspension or removal

We may suspend, downgrade, or remove a Listing if:

  • you breach these Terms

  • your content becomes misleading/outdated

  • payment fails

  • complaints suggest risk to users or WYRLORA’s reputation

  • we discontinue the Directory or restructure categories/features

Where appropriate, we’ll attempt to notify you and allow reasonable time to fix issues.


18. Liability limitation (directory platform protection)

To the maximum extent permitted by law:

  • We are not liable for loss of profits, lost sales, business interruption, or indirect/consequential loss arising from the Directory.

  • We do not guarantee the Directory will be uninterrupted or error-free.

  • Your use of the Directory is at your own risk.


19. Indemnity (vendor responsibility)

You agree to indemnify and hold WYRLORA harmless from claims, losses, damages, and expenses arising from:

  • your products/services

  • your Listing content

  • customer disputes

  • your breach of these Terms or applicable law


20. Changes to these Terms

We may update these Terms from time to time.

Continued participation in the Directory after updates means you accept the revised Terms.


21. Governing law

These Terms are governed by the laws of Queensland, Australia, and the parties submit to the jurisdiction of Queensland courts.
